1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by Dijam Limited ("we", "us", "our").

By engaging our services or accessing deliverables we produce, you agree to be bound by these Terms.

2. Services

Dijam Limited provides professional software-development and related services, including (but not limited to):

  • Custom web-application development
  • Mobile-application development (iOS & Android)
  • Full-stack development and API design
  • AI integration and implementation
  • Technical consulting and software architecture

The specific scope, deliverables, and pricing for each project will be defined in a written agreement or proposal.

3. Engagement Terms

  • Work begins only once a written agreement or statement of work has been signed and any required deposit received.
  • Changes to scope, schedule, or budget must be agreed in writing.
  • Time estimates are provided in good faith but are not guaranteed unless expressly stated as fixed.

4. Payment Terms

  • Payment terms are specified in each project agreement.
  • Unless otherwise agreed, invoices are due within 30 days of issue.
  • Late payments may accrue interest in line with the Late Payment of Commercial Debts (Interest) Act 1998 and may delay delivery of work.
  • All fees are exclusive of VAT unless stated otherwise.

5. Intellectual Property

  • Upon full payment, ownership of custom source code, designs, and deliverables created specifically for the client transfers to the client.
  • We retain the right to display non-confidential work in our portfolio or marketing materials unless the client requests otherwise in writing.
  • Pre-existing tools, libraries, frameworks, and open-source components remain subject to their original licences.
  • We retain ownership of our underlying know-how, reusable components, and development processes.

6. Warranties

  • We warrant that our services will be performed with reasonable skill and care consistent with professional software-development standards.
  • A bug-fix or warranty period may be specified in the individual project agreement.
  • We do not warrant that deliverables will remain compatible with future third-party software, APIs, operating systems, or browsers.

7. Limitation of Liability

  • Our total liability arising under or in connection with a project is limited to the total fees paid for that specific project.
  • We are not liable for any indirect, consequential, or special loss, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the services.
  • Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be limited or excluded.

8. Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information disclosed during the engagement, except where disclosure is required by law or by a competent authority.

This obligation continues after the termination or completion of the project.

9. Data Protection

Each party agrees to comply with applicable data-protection laws, including the UK GDPR and Data Protection Act 2018.

Where Dijam Limited processes personal data on behalf of a client, such processing will be governed by a separate Data Processing Agreement if required.

10. Termination

  • Either party may terminate an engagement with written notice.
  • The client remains responsible for payment of all work completed up to and including the termination date.
  • We may suspend or terminate work if invoices remain unpaid beyond agreed terms or if the client breaches these Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes arising in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
